Terms and Conditions

These Terms and Conditions ("Agreement") govern the provision of services by Shreenithi Delight Studio ("we", "us", or "our") to the client ("Client", "you", or "your"). By engaging our services, you agree to comply with and be bound by these terms.

1. Services Provided

We offer a range of services, including but not limited to:

Photography & Videography: Professional photography and videography services for events, branding, and content creation.
Web Design & Development: Design, development, and maintenance of websites.
Graphic Design: Creation of logos, brochures, flyers, branding materials, and other graphic content.
Social Media Management: Social media strategy, content creation, and management for platforms such as Facebook, Instagram, Twitter, LinkedIn, etc.

2. Acceptance of Terms

By signing a service agreement or making a payment for any of our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

3. Service Fees and Payment Terms

Fees: The fees for services will be outlined in the individual service agreement or invoice. All prices are in Indian Rupees (INR) unless otherwise stated.
Payment: Payments are due as per the terms set forth in the agreement or invoice. A deposit may be required for certain services before the work begins.
Late Payments: Any payments not received by the due date may incur a late fee of 5% per month until the balance is paid in full.
Taxes: Applicable taxes (GST or any other applicable tax) will be added to the service fees, as required by Indian law.

4. Client Responsibilities

The Client agrees to:

Provide Information: Supply all necessary information, materials, and assets required for the execution of the services (e.g., photos, branding guidelines, content).
Approval: Review and provide feedback on deliverables in a timely manner to avoid project delays.
Copyrights and Permissions: Ensure that they own or have the appropriate rights or licenses for any materials provided to us for use in the services (e.g., images, logos, music, etc.).
Availability: Make themselves available for consultations, reviews, or any required approvals in a timely manner.

5. Ownership of Deliverables

Intellectual Property: Upon full payment for services, ownership of the final deliverables, including photographs, designs, websites, and social media content, shall be transferred to the Client. However, we retain the right to use the final products for portfolio and promotional purposes unless otherwise agreed.
License for Use: By providing any content to us (e.g., text, images), you grant us a non-exclusive, worldwide license to use it for the purpose of delivering the agreed services.

6. Changes to the Scope of Work

Any changes to the scope of work or additional services requested by the Client after the project has commenced will be subject to additional fees. Changes to the project scope may result in a delay in delivery, and timelines will be adjusted accordingly.

7. Delivery and Timelines

Timeline: We will provide an estimated timeline for the delivery of services, which may be affected by Client delays or changes to the scope of work.
Delays: We are not liable for delays caused by external factors or by the Client’s failure to provide necessary materials or approvals.

8. Cancellation and Refunds

Cancellation by Client: If the Client cancels the project after work has commenced, they may be required to pay for the services rendered up to the point of cancellation. Any advance payment is non-refundable unless otherwise agreed.
Cancellation by Us: We reserve the right to cancel the project if the Client violates the terms or fails to meet agreed deadlines or responsibilities. In such cases, the Client will be refunded any unearned payments, minus applicable fees.

9. Confidentiality

We respect your privacy and agree to keep any sensitive or proprietary information shared during the project confidential. However, we may use project details for portfolio purposes unless you request otherwise.

10. Limitation of Liability

We will not be held liable for:

Any damages arising from the use or inability to use the services provided.
Loss or damage to files, data, or materials provided by the Client, unless caused by our negligence.
Delays caused by external factors, including, but not limited to, technical issues, force majeure events, or delays caused by the Client.

Our liability for any claim shall be limited to the total amount paid by the Client for the services under the agreement.

11. Force Majeure

We will not be liable for any failure or delay in providing services due to circumstances beyond our control, including but not limited to natural disasters, strikes, governmental actions, technical failures, or any other event outside our reasonable control.

12. Indemnification

The Client agrees to indemnify and hold harmless Shreenithi Delight Studio, its employees, agents, and contractors from any claims, damages, losses, or liabilities arising from the Client’s breach of these Terms and Conditions, or the use of materials provided by the Client for the services.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to this Agreement will be subject to the jurisdiction of the courts in Bangarpet, Karnataka, India.

In the event of a dispute, both parties agree to attempt to resolve the matter through mediation before resorting to legal action.

14. Amendments to the Terms

We may update or amend these Terms and Conditions at any time. Any changes will be effective immediately upon posting on our website or providing written notice to the Client. Continued use of our services will constitute acceptance of the updated Terms and Conditions.
